1. Acceptance of Terms
By accessing or using FlexFlow (“the Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
FlexFlow (Sole Proprietorship) (“FlexFlow”, “we”, “us”, or “our”) operates a business-to-business-to-consumer gym management software-as-a-service platform. These Terms constitute a legally binding agreement between you and FlexFlow.
2. Description of Service
FlexFlow is a cloud-based gym management platform designed to help fitness facilities, personal trainers, and gym operators manage their operations, including but not limited to:
- Athlete and member management
- Class scheduling and management
- Course and program organization
- Staff and coach management
- Organization and gym administration
The Service is provided on a subscription basis with various tier levels (free, starter, team, enterprise) as described in our pricing plans.
3. User Accounts
3.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Responsibilities
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate
- Not share your account credentials with others
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities under your account
3.3 Age Requirements
You must be at least 13 years old to use the Service. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service.
4. Subscription Terms and Billing
4.1 Subscription Plans
FlexFlow offers various subscription tiers with different features and limitations. Subscription fees are billed in advance on a monthly or annual basis, as selected during signup.
4.2 Payment Processing
Payments are processed through Stripe, a third-party payment processor. By providing payment information, you authorize us to charge your payment method for all fees associated with your subscription.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.
4.4 Refunds
Subscription fees are non-refundable except as required by law or at our sole discretion. Refund requests must be submitted within 30 days of the charge date.
4.5 Price Changes
We reserve the right to modify subscription prices at any time. Price changes will be communicated to you at least 30 days in advance and will apply to your next billing cycle unless you cancel your subscription.
5. Acceptable Use
5.1 Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable laws
- Transmit any harmful code, viruses, or malicious software
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Use the Service to store or transmit infringing, libelous, or otherwise unlawful material
- Violate any third-party rights, including intellectual property rights
- Use automated systems to access the Service without authorization
- Reverse engineer, decompile, or disassemble any part of the Service
5.2 Content Responsibility
You are solely responsible for all content, data, and information you upload, store, or transmit through the Service. You represent and warrant that you have all necessary rights to use such content and that it does not violate any applicable laws or third-party rights.
6. Intellectual Property Rights
6.1 Service Ownership
The Service, including all software, designs, text, graphics, logos, and other content, is owned by FlexFlow or its licensors and is protected by copyright, trademark, and other intellectual property laws.
6.2 User Content License
You retain ownership of content you upload to the Service. Unless we agree otherwise in writing, you grant FlexFlow and applicable organizations an unrestricted, worldwide, irrevocable, non-exclusive, and royalty-free right to use, adapt, modify, publish, translate, distribute, and display any content you post on the Service, in any form or media, solely for the purpose of providing the Service.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by FlexFlow without obligation or compensation to you. You agree that any ideas, suggestions, or similar materials you send us are not confidential. You hereby assign such materials to us without compensation, and agree that we may use them for commercial or non-commercial purposes with no compensation to you.
6.4 Copyright Infringement
If you believe that any content on the Service infringes upon your copyright, please notify us at [email protected]. Your notice should include: (a) a description of the copyrighted work that you claim has been infringed; (b) the URL where the allegedly infringing content is located; (c) your full name, postal address, telephone number, and email address; (d) a statement that you have a good faith belief that the use of the allegedly infringing material is not authorized; (e) your physical or electronic signature; and (f) a statement that you are the copyright owner or an authorized agent of the copyright owner.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
8. Service Availability and Modifications
8.1 Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
8.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
8.3 As-Is Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9. Limitation of Liability
9.1 Disclaimer of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLEXFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
9.2 Limitation of Liability
IN NO EVENT SHALL FLEXFLOW’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO FLEXFLOW IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
9.3 Exclusions
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless FlexFlow, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you upload or transmit through the Service
11. Termination
11.1 Termination by You
You may terminate your account at any time by cancelling your subscription and deleting your account through your account settings.
11.2 Termination by Us
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You violate these Terms
- You fail to pay subscription fees when due
- We suspect fraudulent or illegal activity
- We are required to do so by law
11.3 Effect of Termination
Upon termination:
- Your right to access and use the Service will immediately cease
- We may delete your account and data in accordance with our Privacy Policy
- All provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability
12. Third-Party Services
The Service may integrate with or link to third-party services, including but not limited to payment processors, email services, and authentication providers. Your use of such third-party services is subject to their respective terms of service and privacy policies. FlexFlow is not responsible for the availability, accuracy, or practices of third-party services.
13. Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.
13.2 Jurisdiction
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. You agree that all legal proceedings arising out of or in connection with these Terms or the Service must be brought in a court located in British Columbia, and that your claim(s) will be forever waived and barred unless filed within two years of the time in which the event(s) giving rise to such claim(s) began.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FlexFlow regarding the Service and supersede all prior agreements and understandings.
14.2 Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
14.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
14.4 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.5 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
14.6 Force Majeure
FlexFlow shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet failures.
